Terms of Service & Public Offer

These Terms of Service (the “Terms”) constitute a public offer (the “Offer”) addressed to any individual or entity (the “User”, “you”) who accesses or purchases Nabu. By creating an account, downloading, or purchasing a subscription, you accept these Terms in full.

1. Who we are

Nabu is a desktop software application (the “Software”) developed, owned and sold by Gavriil Grigoriev (the “Seller”), acting as an individual. Contact: hello@nabu.im.

2. The Software

Nabu is an AI assistant that runs on your computer and can act on your files, terminal, and the web under your control, with a one-click undo layer. The Software is model-agnostic: it connects to AI providers you choose, and can run local models. A free tier provides the application; a paid Pro subscription adds voice control, supporter status, early access to new features, and premium playbook packs, and runs on an AI provider key you supply. The Pro+ and Max plans additionally include AI models supplied by us under a fair-use allowance, so no provider key of your own is required (see clause 4).

3. Accounts

An account (created with your email) is required to use the Software. You are responsible for the accuracy of your email and for activity under your account. The Software works offline after sign-in within a limited grace period; access is re-validated when you are online.

4. Prices and payment

• Pro Monthly — US$9 per month.
• Pro Annual — US$89 per year.
• Pro Lifetime — US$199, one-time.
• Pro+ Monthly — US$19 per month.
• Max Monthly — US$49 per month.

Prices are stated in US dollars; the amount charged may be shown in your local currency by the payment provider. Payments are processed by our payment provider Lava (lava.top). We do not receive or store your card details. Applicable taxes, if any, are your responsibility unless stated otherwise at checkout.

Pro+ and Max (managed inference). These plans include access to AI models supplied by us, subject to a fair-use allowance that is measured by the cost of the compute you consume and displayed in the app as a percentage. Heavier models consume the allowance faster. The allowance resets on a rolling session window and at the start of each calendar month. When it is exhausted, model access is limited until the next reset; the rest of the Software keeps working, and you may connect your own API key at any time instead. These plans are billed monthly only. Because they carry our cost of supplying the models, we may adjust allowances with notice.

Provider policies. When you use managed inference, your requests are served through our third-party model providers. You agree not to use the managed models in ways their usage policies prohibit, and not to resell or relay managed access outside the Software.

5. Licence

Subject to these Terms, you are granted a personal, non-exclusive, non-transferable, revocable licence to install and use the Software for your own purposes. You may not resell, sublicense, redistribute, reverse-engineer (except as permitted by mandatory law), or remove proprietary notices. All intellectual-property rights in the Software remain with the Seller.

6. Subscription, renewal, cancellation

Monthly and Annual subscriptions renew automatically at the end of each period through the payment provider until cancelled. You can cancel at any time from your account with the payment provider (Lava → “My purchases” → Cancel); you keep Pro access until the end of the paid period, and it is not renewed thereafter. Lifetime is a one-time purchase and does not renew.

7. Refunds

You may request a full refund of your first purchase within 14 days by writing to hello@nabu.im. After 14 days, or for renewals, payments are non-refundable; cancelling stops future renewals but does not refund the current period, and partial periods are not refunded. This does not affect mandatory consumer rights that may apply in your country of residence. See our full Refund & Returns Policy.

8. Privacy and your data

Nabu is local-first: your files and conversations stay on your device unless you choose to send them to an AI provider you configure. We process your email and subscription status only to operate your account and Pro entitlement. We do not sell personal data. 9. Acceptable use

You agree not to use the Software for unlawful purposes or in violation of third-party rights. You are responsible for the actions you direct the Software to take on your systems and accounts.

10. Disclaimers and liability

The Software is provided “as is” and “as available”, without warranties of any kind to the maximum extent permitted by law. To the extent permitted by law, the Seller is not liable for indirect or consequential damages; total liability for any claim is limited to the amount you paid in the twelve months preceding the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

11. Changes

We may update these Terms; the “Last updated” date reflects the current version. Material changes will be reflected here, and continued use after changes constitutes acceptance.

12. Governing law

These Terms are governed by the laws applicable at the Seller’s place of business, without prejudice to the mandatory consumer-protection laws of your country of residence. Disputes should first be raised with us at hello@nabu.im so we can try to resolve them amicably.
